By accessing and using The Loop ("Service," "Platform," "we," "our," or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

The Loop is a platform that connects musicians, bands, venues, and music industry professionals. We provide tools for:

• Creating and managing user profiles
• Discovering and joining music events
• Managing bands and venues
• Facilitating bookings and performance agreements
• Building professional networks
• Sharing music-related content and information

3. User Accounts

Account Creation

• You must be at least 13 years old to use this Service
• You must provide accurate and complete information
• You are responsible for maintaining the security of your account
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Spam or send unsolicited messages
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service for any illegal or unauthorized purpose

• Create multiple accounts to evade bans or restrictions

5. Content

Your Content

• You retain ownership of content you post on the Service
• By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on the Platform
• You represent that you have all necessary rights to the content you post
• You are solely responsible for the content you post

Prohibited Content

You may not post content that:

Content Moderation

6. Bookings and Performance Agreements

• The Loop facilitates bookings and agreements but is not a party to these contracts
• Users are solely responsible for the terms and fulfillment of any agreements
• We do not guarantee the quality or reliability of any performers or venues
• All payments and financial arrangements are between users
• We are not responsible for disputes arising from bookings or agreements

7. Payments and Subscriptions

Subscription Plans

• Some features require a paid subscription
• Subscription fees are charged in advance on a recurring basis
• You can cancel your subscription at any time
• No refunds will be issued for partial subscription periods
• We reserve the right to change subscription prices with notice

Payment Processing

Payments are processed through third-party payment processors. You agree to their terms and conditions. We do not store your payment information.

8. Intellectual Property

• The Loop name, logo, and all related marks are our property
• The Service design, features, and functionality are protected by copyright and other intellectual property laws
• You may not copy, modify, or create derivative works without our permission
• User-generated content remains the property of the respective users

10. Disclaimers

"As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee

We do not guarantee that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results from using the Service will meet your requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless The Loop, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you post on the Service

13. Dispute Resolution

Informal Resolution

If you have a dispute with us, please contact us first to attempt to resolve it informally.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

Jurisdiction

You agree that any legal action or proceeding shall be brought exclusively in the courts located in New Zealand.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last updated" date
• Sending notification via email (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Termination

Either party may terminate your access to the Service at any time:

• You may delete your account at any time
• We may suspend or terminate your account for violations of these Terms
• We may discontinue the Service at any time with reasonable notice

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will continue to apply.

16. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and The Loop regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.
